Affiliate Terms
1. The program
You refer customers to ODONTO PRO (a product of Empyrate LLC, Sharjah Media City, Sharjah, UAE — "EMPYRATE"). All sales are made and invoiced by EMPYRATE through its own checkout; you only refer, you never handle customer payments. By registering you enter a binding agreement with Empyrate LLC on these terms.
2. Commission
You earn 15% of the amount EMPYRATE actually receives for a referred customer's FIRST purchase — that is, the price paid (after any discount) less the payment processor's fees. Commission accrues ONLY on a completed, fully paid sale — never on clicks, sign-ups, trials, unpaid or cancelled checkouts. Attribution uses the last referral click within the cookie window, or a code entered at checkout.
3. Payments
Commissions clear after a 30-day hold (chargeback window). Payouts run monthly, subject to a minimum threshold. Payouts are made by international bank transfer in AED with shared charges (SHA): ALL transfer costs — sending, intermediary/correspondent and receiving bank fees — and any currency-conversion difference are borne by you and may reduce the amount that reaches your account. EMPYRATE's obligation is discharged when it remits the commission amount; it is not responsible for third-party bank deductions or exchange rates. You provide valid payout details in your own name; payments are made only to the registered affiliate. If a transfer is returned because of incorrect bank details you supplied, the resulting costs are deducted from your balance and the payment is retried in the next cycle.
4. Single level
One level only — there are no sub-affiliate or multi-level commissions, ever.
5. Chargebacks
If a referred sale is charged back or reversed by the payment provider, the related commission is reversed and may make your balance negative until offset by future earnings.
6. Prohibited conduct
No self-referral, no multiple accounts for one person, no bidding on our trademarks, no spam, and no misleading claims. Violations may suspend your account and forfeit unpaid balances.
7. Taxes & independence
You are solely responsible for your own taxes and any registration or reporting duties in your jurisdiction. You act as an independent referrer and have NO authority to represent, bind, or contract on behalf of EMPYRATE.
8. Eligibility
Affiliates from sanctioned jurisdictions cannot be onboarded or paid. We may decline or suspend accounts at our discretion.
9. Seed program interplay
Clinics admitted to the ODONTO PRO Seed Program are governed by the Seed Program Terms during their trial window: purchases made through a seed clinic's code count toward its free-license goal and earn NO cash commission. A person or clinic cannot hold both roles at the same time.
10. Termination & changes
Either party may end participation at any time with written notice (email suffices). Commissions already accrued on completed sales remain payable under §3 unless forfeited under §6. We may update these terms; material changes are notified by email and apply to sales made after the notice. Continued participation constitutes acceptance.
11. Governing law
These terms are governed by the laws of the United Arab Emirates; the courts of Sharjah, UAE have exclusive jurisdiction.
