Seed Program Terms
1. The program
The ODONTO PRO Seed Program is invitation-only. Empyrate LLC (Sharjah Media City, Sharjah, UAE — "EMPYRATE") grants your clinic a free ODONTO PRO license for a 45-day evaluation window starting on the date stated in your invitation email. By activating the license you accept these terms and the ODONTO PRO EULA.
2. The goal
If, within the 45-day window, THREE (3) clinics complete a fully paid purchase of ODONTO PRO through your referral code, your license remains activated free of charge, permanently. Only completed, fully paid sales count; clicks, sign-ups, and unpaid checkouts do not.
3. Referral discount
If fewer than 3 clinics purchase within the window, each completed referral reduces the license price by one third (1/3). You pay only the remaining balance to keep your license (e.g. at a list price of AED 20,000: 0 referrals → AED 20,000; 1 → AED 13,333; 2 → AED 6,667; 3+ → free).
4. Payment window & block authorization
At the end of the 45-day window you receive a notice with your referral tally and remaining balance. If the balance is not paid within 24 HOURS of that notice, you AUTHORIZE EMPYRATE to remotely deactivate (block) your license key. A blocked application will not open until payment is completed. This deactivation applies to the software license only.
5. Your data & backups
All clinic data created in ODONTO PRO is stored locally on your computer and remains yours. Before the end of the window you are responsible for downloading a FULL database backup (in-app Backup page). EMPYRATE is not liable for data inaccessibility during a license block or for backups you did not take; your data is never deleted by a block.
6. Automatic reactivation
Paying the remaining balance automatically re-activates your license, which then becomes a normal perpetual ODONTO PRO license under the EULA.
7. No cash commission during the trial
During your 45-day window, purchases made through your referral code count toward your free-license goal and earn NO cash commission. After your license is resolved (kept free or paid), new referrals earn normal affiliate commission under the Affiliate Terms. You cannot be a seed clinic and a cash affiliate at the same time.
8. No refunds
All payments are final. There is no refund mechanism in the program.
9. Fair play
Purchasing through your own code, fabricated clinics, or manipulated referrals disqualify the referral and may end your participation with the license blocked until full payment.
10. Changes & governing law
EMPYRATE may amend these terms for future cohorts; the terms you accepted govern your window. These terms are governed by the laws of the United Arab Emirates; the courts of Sharjah, UAE have exclusive jurisdiction.
